TERMS OF USE FOR SERION™ ONLINE ENVIRONMENT
(“The service”)

Services: The SERION Online Service is an information service from Thomson CompuMark, Incorporated, primarily accessed via the World Wide Web at http://compumark.thomson.com.

Web Site User: As a user of the Service, you are granted a nonexclusive, nontransferable, revocable, limited license to access the site. The Terms of Use are personal to you, and you may not assign your rights or obligations to any component of the Service to any other individual, law firm, company or entity. You are responsible for preventing such unauthorized use and for protecting the security of your username and password.

General Rules: By using The Service, you agree to be bound by all the terms of the Terms of Use.

Changes to the Terms of Use: Thomson CompuMark may change the Terms of Use at any time. If and when the terms are changed, Thomson CompuMark will notify by posting a message on the SERION homepage. By using The Service after a notice has been posted, you agree to be bound by all of the changes.

Limitations on Use: The information available through The Service is the property of Thomson CompuMark or various content providers and is protected by copyright and other intellectual property laws. Information received through The Service is to be used solely for internal purposes.

Except with prior written authorization from Thomson CompuMark, no information received through The Service may be duplicated, reproduced, distributed, or otherwise disseminated, in whole or in part, in any form, except that limited reproduction is permitted for distribution within your internal organization.

Under no circumstances may copies produced under this provision be offered for sale or resale, except if user is an attorney or law firm (an "Authorized Attorney") engaged primarily in the practice of law, or an agent of an Authorized Attorney, limited reproductions of outputs by user is permitted for distribution to a client or Authorized Attorney in connection with the Authorized Attorney's legal representation of that client, provided that user is not a company, partnership or entity in the trademark research business, or employed, directly or indirectly, by a trademark research entity.

Thomson CompuMark expressly prohibits the use of robotic, spider or otherwise automated modes of query generation and record retrieval.

Copyright Notice: All output must include due acknowledgement that the information is from the Thomson CompuMark databases and contains the applicable copyright notice by Thomson CompuMark. Notwithstanding the foregoing, Thomson CompuMark makes no claim of copyright ownership in any information that is in the public domain.

Disclaimer of Warranties and Liabilities: Due to the number of sources from which information on the Service is obtained, and the inherent hazards of electronic distribution, there may be delays, omissions or inaccuracies in such information and The Service. YOU AGREE THAT YOUR ACCESS TO, AND USE OF THE SERVICE AND CONTENT AVAILABLE THROUGH THE SERVICES IS ON AN “AS-IS,” AS AVAILABLE” BASIS. THOMSON COMPUMARK EXPRESSLY DISCLAIMS RESPONSIBILITY FOR THE ACCURACY OF INFORMATION ORIGINATING FROM THE VARIOUS PATENT, TRADEMARK AND COPYRIGHT OFFICES OR THEIR PUBLICATIONS, AND FOR INFORMATION ORIGINATING FROM THE VARIOUS SECRETARY OF STATE OFFICES, AND ANY ERRORS OR OMISSIONS IN SAID DATABASES RESULTING FROM THE USE OF SUCH INFORMATION OR PUBLICATIONS. IN NO EVENT WILL THOMSON COMPUMARK, ITS AFFILIATES, AGENTS OR LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON SUCH INFORMATION OR FOR ANY CONSEQUENTIAL, SPECIAL OR SIMILAR DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT THE LIABILITY OF THOMSON COMPUMARK, ITS AFFILIATES, AGENTS AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM (WHETHER IN CONTRACT, TORT OR OTHERWISE) IN ANY WAY CONNECTED WITH THE SERVICE OR THE INFORMATION IN THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO THOMSON COMPUMARK FOR USE OF THE SERVICE.

Third Party Content: We may link to, or promote, web sites or services from other companies. You agree that Thomson CompuMark is not responsible for, and do not control, those web sites, services and software. Similarly, Thomson CompuMark may post materials such as articles, white papers and pod casts to The Service authored by individuals not affiliated with Thomson CompuMark. Thomson CompuMark disclaims the responsibility for the accuracy of this information.

Billing and Payment: You are responsible for all charges incurred while your account and password are being used. You agree to pay all fees invoiced (including applicable taxes) on account of your use of The Service within thirty (30) days of the invoice date. Thomson CompuMark reserves the right to change its fees for The Service at any time. Thomson CompuMark will notify you of such changes by posting a notice in the "Announcements" section of The Service or by mailing you an updated rate guide. Please feel free to call us to obtain the most recent rate guide.

Termination of Subscription: Your Service subscription will continue until terminated by Thomson CompuMark or until you provide notice of your decision to terminate your subscription. Such notice should be forwarded to the SAEGIS Support Staff via telephone (888-477-3447) or Email (saegis.support.us@thomson.com).

Thomson CompuMark reserves the right to terminate or suspend your access to The Service without notice for any reason, including breach or assignment of this Agreement.

Severability of Provisions: If any provision of this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.

Governing Law: This Agreement, all intellectual property issues, and your rights and obligations shall be governed by the laws of the United States of America and the Commonwealth of Massachusetts governing contracts wholly entered into and wholly performed within the Commonwealth of Massachusetts.
